Users retain all ownership rights in their User Content, and Palgam does not claim any ownership or control over such content. By submitting User Content to the Palgam platform, users grant Palgam a non-exclusive, royalty-free, sublicensable, transferable, worldwide license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, and publicly display such User Content in connection with the operation, promotion, and improvement of the Palgam platform and its related services.
Users represent and warrant that they have all necessary rights, permissions, and consents to grant the license described above and that their User Content does not infringe upon the intellectual property rights, privacy rights, or any other legal rights of any third party. Users further represent that their User Content complies with all applicable laws, regulations, and community guidelines. Palgam may also suspend or terminate user accounts associated with such prohibited User Content. 5. Registration Rules
5.1. Eligibility
Users must be at least 18 years old to register and participate in the Palgam application. By registering with Palgam, users affirm that they possess the legal capacity to enter into this agreement.
5.2. Restricted Jurisdictions
Users residing in jurisdictions where skill-based games are prohibited, or where local lawmakers do not distinguish between games of skill and games of chance, or where the applicable regulations do not reference or recognize the concept of "chance" for the purpose of classification, are not permitted to register for or use the Palgam application (for example, the UAE).
Palgam reserves the right to suspend or block users who violate these Terms. However, due to the decentralized nature of the financial system, users will continue to retain access to their wallet.

Accepted formats include JPEG or PNG, and the size of the image should not surpass the maximum limit established by the platform. Failure to comply with these specifications may result in the rejection of the profile picture.
7.4. Picture Update Privileges
Users retain the freedom to modify their profile pictures as desired. However, any changes made must align with the aforementioned rules and guidelines regarding image appropriateness, ownership rights, and size/format specifications. 8. Username Rules

8.2. Neutrality

8.3. Privacy
Respect for individuals' privacy rights is paramount. 8.4. Uniqueness
Each username must be entirely unique and distinguishable from those already in use by other users on the platform. 9.2. Mutual Respect

Palgam offers all registered users the opportunity to participate in its Affiliate Program and become Partners of the platform.
Through the Affiliate Program, Partners can earn a share of the revenue generated by the eligible activity of players referred through their unique Affiliate Link or Affiliate Code. The Partner revenue share starts at 25% and can increase up to 40% based on the performance of referred players and the applicable thresholds set out below.
Once a player is properly attributed to a Partner, that player remains associated with the Partner in accordance with the Affiliate Program terms. As long as the referred player continues to engage in eligible activity and generates eligible revenue for Palgam, the Partner may continue to receive their applicable revenue share.
10.1. Default Partner Revenue Share
All Partners commence their participation in the Affiliate Program with a default revenue share of 25% of Palgam's eligible revenue generated through the eligible activity of their referred players.
The Partner revenue share is not calculated directly from the total amount won by a referred player. Instead, it is calculated based on the revenue actually generated by Palgam from the referred player's eligible activity.
For example, if a referred player wins $1,000 in a match and Palgam earns $30 in revenue from that activity, a Partner with a 25% revenue share would receive:
$30 x 25% = $7.50 USDT
The Partner's revenue from that activity would therefore be $7.50 USDT.
10.2. Criteria for Increasing the Partner Revenue Share
The Partner revenue share may increase based on the cumulative total winnings of players attributed to the Partner's Affiliate Link or Affiliate Code. The applicable revenue share levels are as follows:

Over $100,000 - 30%
Over $200,000 - 35%
$500,000 or more - 40%
The applicable higher revenue share becomes available once the relevant performance threshold has been reached, subject to the Affiliate Program terms and applicable eligibility requirements.
10.3. $100,000 Threshold
When the cumulative total winnings of players attributed to the Partner's Affiliate Link or Affiliate Code exceed $100,000, the Partner's revenue share increases from 25% to 30%.
10.4. $200,000 Threshold
When the cumulative total winnings of players attributed to the Partner's Affiliate Link or Affiliate Code exceed $200,000, the Partner's revenue share increases from 30% to 35%.
10.5. $500,000 Threshold
When the cumulative total winnings of players attributed to the Partner's Affiliate Link or Affiliate Code reach $500,000 or more, the Partner's revenue share increases to the maximum level of 40%.
10.6. Revenue Calculation Methodology
Partner revenue is calculated based on Palgam's eligible revenue generated from the eligible activity of referred players, rather than directly on the total winnings of those players.
For example, if Palgam applies a 3% commission to an eligible Play-to-Earn activity and a referred player generates $1,000 in winnings, Palgam's revenue from that activity would be:
$1,000 x 3% = $30
If the Partner's applicable revenue share is 25%, the Partner would receive:
$30 x 25% = $7.50 USDT
If Palgam changes its applicable commission or revenue rate in the future, the Partner's revenue will be calculated based on the revenue actually generated by Palgam and the Partner's applicable revenue-share percentage. Partner revenue is calculated in USDT.
10.7. Lifetime Revenue Share
The Palgam Affiliate Program operates on a Lifetime Revenue Share model.
Once a player has been properly attributed to a Partner through the Partner's Affiliate Link or Affiliate Code, the player remains associated with that Partner in accordance with the Affiliate Program terms.
As long as the referred player continues to participate in eligible activities and generates eligible revenue for Palgam, the Partner's applicable revenue share will continue to be calculated and credited according to the Partner's current revenue-share level.
10.8. No Negative Balance
Losses incurred by referred players do not create a debt or Negative Balance for the Partner.
A referred player's losses will not be treated as an amount owed by the Partner and will not cause the Partner's account to become negative.
Accordingly, negative performance or losses generated by one referred player will not create a debt against revenue generated through other referred players.
10.9. Affiliate Link and Affiliate Code
Each Partner may have access to a unique Affiliate Link and Affiliate Code.
The Affiliate Link is the primary method of attribution. When a user installs Palgam through the Partner's Affiliate Link and the attribution is successfully recorded, the user will be attributed to that Partner.
The Affiliate Link works across supported mobile platforms and automatically directs users to the appropriate download page, including the App Store or Google Play, based on the user's device.
If a user installs Palgam without using an Affiliate Link, the user may alternatively enter the Partner's unique Affiliate Code inside the app to complete the attribution process.
For selected influencers and high-tier Partners, Palgam may provide the option to create a customized Affiliate Code featuring a specific word, brand name, or other approved custom string.
10.10. Prerequisites for Commission Withdrawal
Partner revenue may be subject to specific eligibility requirements before it can be transferred to the Partner's Main Balance or withdrawn.
A Partner may not add their accumulated Affiliate profits to their Main Balance unless all of the following conditions have been satisfied:
1. The Partner has at least 5 registered users attributed through their Affiliate Link or Affiliate Code;
2. The cumulative total winnings of the Partner's referred users have reached at least $1,000; and
3. At least 5 referred users have placed an entry amount in the app and have a recorded history of winning.

10.11. Tracking and Partner Dashboard
Partners can view information regarding their referred players, their performance, and the revenue generated through eligible activity in the Affiliate section of the Palgam app, subject to the information and functionality made available by Palgam.
Partner revenue is calculated and recorded in accordance with the Affiliate Program rules and the applicable revenue-share percentage.
10.12. Program Terms and Applicable Conditions
Participation in the Palgam Affiliate Program is subject to the applicable Affiliate Program terms, attribution rules, eligibility requirements, and other conditions established by Palgam.
Palgam may apply the Affiliate Program rules consistently across Partners and may update applicable program terms, revenue rates, or operational procedures where permitted under the applicable terms.
Any such changes will apply in accordance with the applicable Affiliate Program terms and will not alter revenue already properly calculated and credited unless otherwise expressly provided.
11. Bonus Policy
Palgam offers various bonuses to enhance user engagement and enjoyment on the platform. These bonuses are subject to specific terms and conditions outlined as follows.
11.1. 20 Win Bonus
Upon achieving 20 wins for the first time in select games within the Palgam app, players are rewarded with a $1 USDT bonus. This bonus is credited to the user's bonus balance, distinct from the main balance. Players can seamlessly switch between the bonus balance and the main balance on the main application page. The smart contract retains a fixed 10% hosting and operational fee for Palgam.
15.2. Reward Allocation
The smart contract allocates the predefined reward amounts to the top-ranking players based on their final placement.
The total tournament reward allocation consists of the collected participation fees, which are considered entry payments for access to Palgam's competitive gameplay services, not pooled bets or gambling stakes.
15.3. Prize Distribution

15.4. Legal and Compliance Notes
This structure ensures that:
Tournament entries are treated as participation fees rather than pooled wagers.
Prizes are distributed according to skill-based performance and ranking, not chance.
Palgam does not act as a betting house or gambling intermediary, but as a platform operator providing technical infrastructure and competitive services.
The reward system is deterministic, transparent, and compliant with international frameworks including EU, UK, US, and Maltese distinctions between skill-based and chance-based games.
All tournament rules, fees, and rewards are algorithmically defined and verifiable on-chain, ensuring fairness, immutability, and compliance with decentralized standards.
15.5. Tournament Structure
Each tournament held on Palgam has a predetermined number of participants, a specific date and start time, and a defined schedule for recurring tournaments.
To participate in a tournament, a fixed Entry Fee is required. The Entry Fee is deducted directly from the participant's main balance upon entering the tournament.
15.6. Non-Refundable Entry Fee
Once a participant has successfully entered a tournament, the Entry Fee is non-refundable, except in cases where the tournament is cancelled in accordance with the Tournament Cancellation Policy or other applicable provisions of these rules.
15.7. Participant Selection and Matchmaking
Participants are randomly matched with one another from among registered users who have successfully paid the applicable Entry Fee for the tournament.
15.8. Tournament Cancellation Policy
If the required number of participants has not been reached at least 3 hours before the scheduled tournament start time, the tournament will be cancelled and all Entry Fees will be automatically refunded to the participants.
15.9. Advancement and Tournament Progression
In individual competitions, including 8-Ball, Backgammon, and Table Soccer, the winner of each match automatically advances to the next stage of the tournament.
This process continues through the successive stages until the final match determines the tournament winner. No additional Entry Fee will be charged for participation in subsequent stages.
15.10. Match Completion and Result Determination After the Time Limit
Players are required to complete their match within the maximum time limit specified for each game. The maximum time allowed for each match is:
8-Ball: 10 minutes
Backgammon: 15 minutes
Table Soccer: 10 minutes
If the match has not ended normally by the end of the maximum allowed time, Palgam will automatically determine the winner based on the following predefined criteria:
8-Ball: The player with fewer of their own balls remaining on the table will be declared the winner.
Backgammon: The player with the lower Pip Count will be declared the winner.
Table Soccer: The player who has scored more goals will be declared the winner.
If the primary game-specific criterion is equal for both players, the player who has used less total time for their turns throughout the match will be declared the winner.
In such circumstances, the result will be determined automatically by the Palgam system without manual intervention or discretion, and the winning player will advance to the next stage of the tournament.
15.11. Timely Attendance
Participants are required to enter their assigned table at the scheduled match start time. A one-minute grace period will be provided from the official scheduled start time for a player to enter the match.
If one player fails to enter the match within this period, the absent player will be eliminated and the present player will automatically advance to the next stage.
If neither player enters the match within the designated grace period, Palgam will automatically determine the match status and, where applicable, which player advances to the next stage in accordance with its predefined mechanism.
15.12. Disconnection and Expiration of the Maximum Turn Time
Each player is responsible for maintaining a suitable and stable internet connection throughout the match. If a player experiences an internet disconnection or connection issue, the match and the time allocated to that player will not be paused.
During each turn, the player has a normal time allowance (Green Line) for making a move, which may be extended or reset according to the game mechanics. However, each turn also has a final maximum time limit (Red Line), which cannot be extended or reset.
If, for any reason, including disconnection, failure to make a move, or failure to respond, the final maximum time limit (Red Line) expires, the player will automatically be declared the loser of the match, and the opposing player will advance to the next stage of the tournament.
Once the final maximum time limit expires, the turn will not be transferred to the opposing player and the match will end. Internet, network, device, or other equipment-related issues under the player's control will not, by themselves, constitute grounds for changing the match result or refunding the Entry Fee.
15.13. Leaving the Match and Withdrawal
If a player intentionally leaves the match, exits the game, or otherwise withdraws from continuing after the match has started, the player will be declared the loser. In such circumstances, the opposing player will be declared the winner and will advance to the next stage of the tournament.
16. General Regulations of Palgam Games
16.1. Game Selection
Palgam offers three primary games: 8-Balls, Backgammon, and Table Soccer.
16.2. Player Limits
Games are designed for two-player engagements (Person to Person).
16.3. Opponent Selection
Opponents are randomly assigned in all games, with Palgam exercising no control over this process.
16.4. In-Game Communication
Users have the option to chat and send friend requests while playing games.
16.5. Entry Requirements
To participate in games (excluding free tables), players must maintain a minimum cryptocurrency balance (on the Polygon Network) in their main balance.
16.6. Insufficient Balance Handling
If players lack the required balance to enter games, an error prompt will inform them accordingly.
16.7. Token Deposits
Users can deposit tokens into their Palgam accounts via the Polygon network to bolster their balances for game participation (free tables).
16.8. Network Transaction Fees
Users are responsible for covering the costs associated with blockchain network transactions.
16.9. Reconnection Timeout
In the event of a lost internet connection during gameplay, players are allotted 30 seconds to reconnect; failure to do so results in forfeiture.
16.10. Table Varieties
Games feature 4 types of tables, namely play to earn tables, play with friends, free tables, and tournament tables.
16.11. Commission Rates
Palgam currently imposes a 3% commission on play to earn table and play with friends transactions.
16.12. Table Disabling
Palgam reserves the right to disable specific tables and games at its discretion.
16.13. Table Value Adjustments
Palgam retains the authority to modify the values of certain tables at its discretion.
16.14. Notification Alerts
Users receive match-related notifications to stay informed about their game progress.
16.15. Balance Protection
No amount will be deducted from the main balance if an opponent is not found in non-free tables.
17. Table Soccer Game Regulations
17.1. Country Selection
Players are allotted 30 seconds to choose their country before the commencement of the table soccer match. This green time allows for the selection of the combination and country within the specified duration. Should the green time exceed the allotted 30 seconds, the redline will be initiated.
17.2. Move Execution
During table soccer gameplay, each player is granted 15 seconds to execute their move. Following this period, the redline is activated. The standard duration (green time) for striking the ball is set at 15 seconds.
17.3. Redline Activation
The redline timeframe in table soccer spans 30 seconds. Upon the expiration of the user's redline, they face automatic loss. It is imperative to note that the redline remains non-extendable, and each user can utilize this time for a total of 30 seconds throughout the game.
17.4. Winning Conditions
The player who successfully scores three goals in total emerges as the winner in the table soccer game.
17.5. Formation Changes
Participants are permitted to modify their formation up to three times during the game. Each instance of formation alteration allows for a 5-second decision-making window after every goal.
17.6. Play to Earn Tables
Palgam offers a diverse range of table soccer play to earn tables, comprising 12 tables with varying stakes ranging from $1 to $5,000, catering to players of differing preferences and risk appetites.
17.7. Free Play Option
Users can engage in free table soccer matches with friends or random opponents, devoid of any financial commitments.
17.8. Friendly Matches
The platform facilitates friendly matches among friends in table soccer. Users can create tables accommodating two players, with the play to earn table amounts customizable based on user preferences or predetermined values.
17.9. Table Soccer Tournaments
For table soccer tournaments, participants are directed to the respective tournament rules outlined in Clause 15.
18. 8-Balls Game Regulations
18.1. Objective
Winning in an 8-Balls game is achieved by successfully pocketing all assigned balls (solids/stripes) into the six holes surrounding the table, followed by sinking the black ball (ball number 8) into a designated hole.
18.2. Player Turn Time Limit
Players are allotted 40 seconds to execute their shots, encompassing stick movement, aiming, and selecting the desired hole. This timeframe constitutes the normal time (greenline) for gameplay.
18.3. Greenline Duration
The standard time for executing moves in 8-Balls is set at 40 seconds.
18.4. Redline Activation
Failure to act within the designated 40-second greenline triggers the activation of the player's redline.
18.5. Consequences of Redline Expiry
Upon expiration of the user's redline, the player automatically forfeits the game.
18.6. Additional Time (Redline)
Players are granted an additional 30 seconds as redline time for gameplay. It's imperative to note that the redline time cannot be extended, and each user can utilize this time for a maximum of 30 seconds during the game.
18.7. Black Ball Placement
Before executing shots in tables 1 to 6, players must specify the hole into which the black ball (8-ball) is intended to be sunk as the final shot.
18.8. Premature 8-Ball Pocketing Penalty
Any player who pockets the 8-ball before their turn to do so loses the game.
18.9. 8-Ball Placement Accuracy
When aiming to pocket the 8-ball in tables 1 to 6, players must designate the specific hole. Failure to pocket the 8-ball in the designated hole results in a loss.
18.10. Pre-Game Ball Placement
In tables 7 to 12, players must specify the hole into which their ball will be placed before making any shots. This excludes the initial spread of balls at the start of the game. Failure to pocket balls into the specified hole results in a goal, allowing the opponent to proceed with their turn. Misplacing the 8-ball into an unmarked hole leads to a loss.
18.11. Play to Earn Tables
8-Balls offers a variety of play to earn tables with stakes ranging from $1 to $5,000, catering to players with diverse preferences.
18.12. Free 8-Balls Table
Players can engage in online 8-Balls matches with friends or other players without money or maintaining a sufficient balance in their user account.
18.13. Friendly Matches
Players have the option to compete with friends in billiards, selecting either preset participation amounts or customizable play to earn table amounts.
18.14. Tournaments
Tournament regulations adhere to the rules outlined in Clause 15.
19. Backgammon Game Guidelines
19.1. Single Set Gameplay
Backgammon comprises a single set, equating to one round of play.
19.2. Disc Colors and Winning Condition
Players navigate black and white discs, aiming to move all their discs to a designated house on the opposite side of the board to secure winning.
19.3. Automatic Dice Throwing
The backgammon board incorporates an automatic dice-throwing feature, eliminating the need for players to physically throw the dice themselves.
19.4. Determining Starting Player
The starting player is determined by dice throw, with the player rolling the highest number commencing the game.
19.5. Movement Based on Dice Roll
Each turn allows the player to move their discs in accordance with the number indicated on the dice.
19.6. Occupied House Resolution
If a player intends to move their discs to a house occupied by their opponent's discs, the opponent's disc is captured and sent out of play.
19.7. Time Limit for Moves
Players are allotted 20 seconds to execute their turn, including rolling the dice and moving the discs. This duration constitutes the normal time or green timeline.
19.8. Redline Activation
Failure to act within the allocated 20-second green timeline initiates the player's red timeline.
19.9. Redline Duration
The redline timeframe for backgammon in Palgam spans 30 seconds. It's essential to note that this time limit remains unextended, and each player can utilize this time for a total of 30 seconds during the game.
19.10. Consequences of Redline Expiry
If a player fails to make a move within their allotted redline duration, they incur a loss.
19.11. Undo Move Feature
Each player has access to the "undo move" feature for a limited time, enabling them to revise their previous move.
19.12. Play to Earn Table Options
Backgammon offers a range of play to earn tables with stakes varying from $1 to $5,000.
19.13. Free Backgammon Table
Palgam provides a free backgammon table, allowing players to engage in matches with friends or opponents at no cost.
19.14. Play with Friends Table
Participants can select the table amount in play with friends tables, opting for preset values or customizing table amounts according to their preferences.
19.15. Tournaments
Tournament rules are outlined in Clause 15, governing competitive play in backgammon.
20. Security of Palgam
Palgam prioritizes user security by employing robust coding practices and implementing preventative measures to deter tampering. Collaborating with esteemed commercial partners further bolsters Palgam's commitment to security, aligning with industry-leading standards. However, it's imperative to acknowledge that no system can guarantee absolute security, including Palgam. By acknowledging this reality, users consent to participate in Palgam's platform while acknowledging potential risks. Despite this, Palgam diligently monitors and addresses security concerns to uphold the application's integrity and performance.
21. Communication Channels
Palgam exclusively recognizes its official communication channels, as delineated on the Palgam.com website, as the sanctioned means of communication. Users bear responsibility for any interactions conducted outside of these endorsed channels. This directive safeguards users against potential misinformation or unauthorized activities, ensuring clarity and accountability within the Palgam community.
22. Palgam Mobile Application
By downloading or using the Palgam mobile application, you acknowledge and agree to abide by the terms and conditions outlined herein. These terms include, but are not limited to, adherence to the End User License Agreement (EULA), acknowledgment of Palgam's right to provide updates and enhancements to the application, compliance with third-party service agreements, consent to Palgam's Privacy Policy regarding the collection and processing of personal information, encouragement to provide feedback and ratings, acknowledgment of limitations of liability, and agreement to resolve disputes in accordance with the laws of the applicable jurisdiction.
Users understand and agree that Apple Inc. and Google LLC are not parties to any agreements or transactions between users and Palgam, and shall have no responsibility or liability with respect to the Palgam App or its content. Users acknowledge that any claims, losses, liabilities, damages, costs, or expenses arising from the use of the Palgam App are solely between the user and Palgam, and Apple Inc. and Google LLC shall not be responsible for addressing any such claims or issues.
23. Disclaimer of Warranties
PALGAM, ITS AFFILIATES, PARTNERS, AND LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE PALGAM WEBSITE, APPLICATION, OR ANY CONTENT, SERVICES, FEATURES, OR PRODUCTS PROVIDED THEREIN. TO THE FULLEST EXTENT PERMITTED BY LAW, PALGAM DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

FURTHERMORE, PALGAM AND ITS AFFILIATES SHALL NOT BE RESPONSIBLE FOR ANY CONDUCT OF THIRD PARTIES, INCLUDING USERS OF THE APPLICATION, WHETHER ONLINE OR OFFLINE. PALGAM ASSUMES NO LIABILITY FOR ANY CONTENT POSTED BY USERS OR ANY INTERACTIONS BETWEEN USERS WITHIN THE APPLICATION. 25. Indemnification
BY AGREEING TO THESE TERMS, USERS COMMIT TO INDEMNIFY, DEFEND, AND HOLD HARMLESS PALGAM, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS FROM ANY CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, EXPENSES, OR FEES INCURRED DUE TO VARIOUS CIRCUMSTANCES. THESE MAY INCLUDE BREACHES OF THE TERMS AND CONDITIONS, THE USE OF THE PALGAM APPLICATION, THE SUBMISSION OF CONTENT, OR ANY VIOLATION OF LAWS OR THIRD-PARTY RIGHTS BY THE USER. ADDITIONALLY, USERS ARE RESPONSIBLE FOR DISPUTES OR INTERACTIONS WITH OTHER USERS OR THIRD PARTIES WITHIN THE APPLICATION AND ANY RESULTING CONSEQUENCES. PALGAM RETAINS THE RIGHT TO ASSUME EXCLUSIVE DEFENSE AND CONTROL OVER SUCH MATTERS, WITH THE USER'S AGREEMENT TO COOPERATE. THIS INDEMNIFICATION OBLIGATION REMAINS IN EFFECT EVEN AFTER THE TERMINATION OR EXPIRATION OF THE USER'S ACCOUNT AND THE ASSOCIATED TERMS AND CONDITIONS.
26. Severability
In the event that any provision of these terms and conditions is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severed from these terms, and the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.
27. Governing Law and Nature of the Service
These Rules, and any dispute or claim arising out of or in connection with them or with the use of the Palgam platform, shall be governed by and construed in accordance with the laws applicable to skill-based digital games, in which the outcome is determined predominantly by the players' abilities, strategy, and decision-making rather than by chance.
For the avoidance of doubt, the games offered on Palgam are designed and operated as skill-based games and are not intended to constitute gambling or games of chance under the domestic laws of any jurisdiction. These Rules shall be interpreted consistently with legal frameworks that distinguish games of skill from games of chance and do not form, and shall not be construed as forming, an offer of gambling services.
You are solely responsible for ensuring that your access to and use of Palgam complies with the laws and regulations applicable in your country or place of residence.
28. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, including but not limited to matters concerning their existence, validity, interpretation, performance, or termination, the user agrees to first attempt to resolve the issue exclusively through written communication with Palgam's Support Team. Both parties shall make reasonable, good-faith efforts to reach an amicable resolution through Palgam's internal procedures.
If the dispute is not resolved within thirty (30) days from the user's written notice, the matter shall be resolved exclusively through binding arbitration. The arbitration shall be initiated in accordance with the rules of an arbitration institution selected by Palgam.
28.1. Arbitration Rules
The arbitration shall be conducted under the rules of an arbitration body chosen by Palgam (including, but not limited to, ICC, LCIA, or UNCITRAL).
The seat and venue of arbitration shall be a jurisdiction designated by Palgam, regardless of the user's country of residence.
The governing law applicable to the arbitration shall be the law selected by Palgam.
The proceedings shall be administered by a single arbitrator appointed in accordance with the rules of the designated institution.
The language of arbitration shall be English.
The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction.
Each party shall bear its own costs and attorney fees unless determined otherwise by the arbitrator. Palgam shall have no obligation to reimburse any user expenses under any circumstance.
28.2. Injunctive and Equitable Relief
Palgam may, at any time and without initiating arbitration, seek injunctive, protective, or other equitable relief from any court of competent jurisdiction, where such action is necessary to protect its intellectual property rights, confidential information, or proprietary technology, or to prevent irreparable harm to its business, reputation, or users.
Users acknowledge and agree that their recourse is limited to the mandatory arbitration process described above and that they do not possess an independent right to seek injunctive relief in court.
29. Waiver
The failure of Palgam to enforce any right or provision of these terms and conditions shall not be deemed a waiver of such right or provision. The waiver of any breach of these terms and conditions will not constitute a waiver of any other or subsequent breach.
30. Entire Agreement
These terms and conditions constitute the entire agreement between the user and Palgam concerning the subject matter herein and supersede all prior and contemporaneous agreements and understandings, whether written or oral.
31. Modification
Palgam reserves the right, at its sole discretion, to modify or replace these terms and conditions at any time. It is the user's responsibility to periodically review these terms for changes. Continued use of the Palgam application following any such modifications constitutes acceptance of the revised terms.
32. Assignment
These terms and conditions are binding upon and shall inure to the benefit of the parties and their respective successors and permitted assigns. The user may not assign or transfer these terms or any of its rights or obligations hereunder without the prior written consent of Palgam.
